Governance Framework
APCNZ is governed by a Committee (Council) in accordance with its Constitution and the Incorporated Societies Act 2022. A committee is required for incorporated societies and officers have defined duties and eligibility rules under the Act.

APCNZ’s Committee includes roles such as: President • Vice President • Secretary-General • Treasurer • Public Relations & Communications • Professional Development • Community Engagement • Regional Representatives
Role descriptions and delegated responsibilities are maintained to ensure continuity, accountability, and professional standards.

Officers are expected to:
Act in the best interests of APCNZ
Exercise powers for proper purposes
Manage conflicts of interest transparently
Support lawful, ethical decision-making and sound financial stewardship

Conflicts of Interest
APCNZ maintains a conflicts process consistent with the Act (disclosure, recording, and management of conflicts). Where required, conflicted officers may be restricted from decision-making on affected matters. The Constitution may also specify how conflicts are handled.

Member Accountability
Members hold APCNZ accountable through general meetings, elections/appointments (as applicable), and access to key governance information in line with the Constitution.
